Notice/Choice of Law/ Forum for Dispute

In the event of any claim, action or dispute related to or arising out of any Pamemporium transaction, or the breach, interpretation or validity of the Terms, (“Dispute”), the party asserting the Dispute will first attempt to resolve such Dispute in good faith, by providing written notice to the other party (via certified mail, return receipt requested or express delivery carrier) describing the facts and circumstances (including any relevant documentation) and allowing the receiving party at least thirty (30) days in which to respond to or resolve the Dispute. Any attempt to cancel a credit card payment absent adherence to this provision will be deemed a breach and will waive the cancelling party’s rights to this Notice provision.

Any claim or action initiated by either party related to or arising out of a Dispute will be resolved exclusively by state or federal courts located in HARRIS County, Texas, USA. The Terms of this purchase agreement will be governed by and construed in accordance with the laws of the State of Texas, without regard to any conflict of laws provision.

Any Dispute arising by or among a party domiciled outside of the United States shall be settled in the State of Texas as if both parties reside and are governed and construed in accordance with the laws of the State of Texas without regard to any conflict of laws principles. Any resident of another country, or person domiciled outside of the United States hereby agrees to accept service of process by email or regular mail as if service was process was provided in accordance with the laws of the country in which the non-US party resides without regard to any international treaties or conventions that might dictate otherwise.

Each party hereby agree to abide by the terms of this Contract as if it were signed by two Texas State residents.
